Terms of Service

When you use Uplift products or services, you are agreeing to these Terms of Service (“Terms”). Violation of these terms may, at our discretion, result is us terminating your account.

We may update these Terms of Service at any time. If we make significant changes, we will update the date at the top of this page and notify you.

Definitions

“Company”, “we”, “our”, or “us” in any of our policies or terms, refers to Noion Labs LLC, the makers of Uplift.

“Services” refers to our websites, including uplift.software and any subdomain thereof, and any product created and maintained by Noion Labs LLC.

“you” or “your” refers to the people or organizations that own an account with one or more of our Services.

Account Terms

You are responsible for all activity under your account, including the content posted by your users.

You are responsible for the security of your account and password, and for ensuring your users secure their accounts. We are not liable for any loss or damage from your or your user's failure to keep your account secure.

Payment, Refunds, and Plan Changes

Payment is due on the first of the month for that months service. If you do not pay within a week, your account will be frozen and become inaccessible. If your account is frozen on the first day of the next month, it will be scheduled for automatic cancellation and data deletion.

If you change plans (upgrade/downgrade) the new rate starts on your next billing cycle.

Taxes are not included in published prices. Where required to do so we will collect taxes and remit them, otherwise you are responsible for payment of all applicable tax.

Refunds — if you are unhappy any of our services or products for any reason please let us know at support@uplift.software

We are happy to give you a refund for the current month.

Canceling your account

You and only you are responsible for canceling your account. You can do so from within the billing dashboard on UpLift.Software. If you need help, just let us know support@uplift.software but you are still responsible for clicking cancel in the dashboard.

Once canceled all of your content, including content of any sub-users under your account will be inaccessible. Your account will also be scheduled for deletion, and deletion from our backups. Within 40 days your data will be completely purged. Once data has been purged there is nothing we can do to help you retrieve it.

After your data has been purged any subdomains become available for other customers to use.

Cancellations are effective immediately. We do not prorate unused time in the current billing cycle.

We reserve the right to suspend or terminate accounts or refuse service to any one, for any reason.

Changes to the Service or Prices

We reserve the right at any time to change or discontinue the service, or any part thereof.

We reserve the right to change our pricing structure, and to apply those changes to existing customers. Before making such a change we will let you know by email, and by notifications on the UpLift.Software website

Availability and Privacy

Your use of the Services is at your sole risk. We provide these Services on an “as is” and “as available” basis. We take that availability seriously, but we can not, and do not guarantee it.

Rather than limiting what customers can do with their instances we practice a "hands off" approach — each instance is isolated from other customers, and has its own allotment of resources. If you have setup an integration, API access, or automation that consumes too much of your resource allocation you will see degraded performance. It is then your responsibility to change to a plan with more resources, or to modify your configuration to use less resources.

You agree that we may process your data as described in our Privacy Policy.

Copyright and Content Ownership

You give us a limited license to use the content posted by you and your users in order to provide the Services to you, but we claim no ownership rights over those materials. All materials you submit to the Services remain yours.

We do not filter or screen content, but we do reserve the right to refuse to accept, or to remove any content

The Company owns all right, title, and interest in and to the Services. Including all intellectual property rights therein.

API Terms

We provide various advanced APIs (application programming interfaces) for some of our Services. With great power comes great responsibility. You expressly understand, and agree, that we are not liable for any damages, or losses resulting from your use of the APIs or of any third party integration you setup, or you request us to setup on your behalf.

API access can also consume most or all computer resources allocated to an account. Any service degradation to your account, caused by your use of the API, or integration you have setup, is your responsibility. You may with to purchase a plan with additional resources, or improve the efficiency of the API usage or integration.

Liability

You agree that the Company is not liable to you or to any third party for damages of any kind that result from the use of the Services, in ability to access data, or unauthorized access of your data or account. The Company is also not liable for damages of any kind related to actions of any third party that uses the Services, or any other consequences related to the Terms or Services.
